Time of Reading 11:35 A. M. Eastern Standard Time. ..., N.Y.

1. GC: We ask divine guidance for [257] for the purchase, acquiring of company and the refinancing of the Paris Medicine Company - the associates are - Maurice Wertheim, now on the Leviathan - Frank Klinkenstein of Wertheim & Co., 67 Willow St., N.Y. City, and E. W. Grove, Jr., of St. Louis, Mo. - and Ben Lauterstein of N.Y. and others interested and who can assist. You will answer questions regarding this.

2. EC: Yes, we have the body, the enquiring mind, [257]. This we have had before. Also those associations and conditions surrounding the purchasing and refinancing of Paris Medicine Company. Ready for questions.

3. (Q) What is status of company with E. W. Grove now and his feelings to [257]? (A) These conditions have been changed materially since we had same here, and, as seen, the body Grove and associates are CONFIDENTIAL, even, with the body [257], and there needs be little fear that this end of the work in hand may not be carried out properly. This has been in this direction very well done, and much has been accomplished in this direction. There needs not be WORRY as respecting the abilities OF the proposition to be handled through Wertheim and associates, as well as those that are REALLY interested in same from the status in which [257] has approached same. While there are those that are not wholly in accord with the ideas and ideals of [257] as respecting the closing or handling of deal, this will be carried forward and in due time be consummated, if this will be kept wholly in Wertheim's hands and his CLOSER associates.

4. (Q) What final amount of stock and cash will it be necessary to give Grove for his consent to final sale? (A) This has been worked out to some extent by Grove, but the final amount about three-fourths of that as first asked and sufficient of the stock that the income from the changes would, in a manner, meet that as is being received through the GENERAL conditions at present. Retaining Grove as a member, or a chairman of Board.

5. (Q) Is Grove sincere with his desire to work with [257]? (A) Sincere, but once crossed by someone outside that would attempt to supplant or eliminate Grove from the promises [257] has made, it wouldn't be so well!

6. (Q) Who would attempt to cross him? (A) As has been given, there are some that are interested that are, in a manner, feeling that TOO much is being left in the hands of [257] and Grove. Not so! But these would attempt to supplant Grove by their OWN associates and associations, see?

7. (Q) How can [257] prevent that? (A) By the manner in which the contracts are drawn!

8. (Q) When will [257] have everything ready to discuss with Grove in New York? (A) Eight to ten days.

9. (Q) What should [257] say to Grove at once? or write to him? (A) Just lay the cards on the table and tell him the conditions!

10. (Q) Should [257] go to St. Louis first or have Grove in N.Y. next? (A) As seen, better to meet Grove in St. Louis and TOGETHER go to New York after the arrangements are ready to be made final.

11. (Q) Was Mr. Wertheim impressed with the proposition before leaving New York? (A) His actions indicated his attitude towards same! He was.

12. (Q) What decisions was reached in the conference with his partner, Mr. Klinkenstein? (A) That these would not be allowed to get out of their hand. That's inside! As to the actions of each, these will be attempted to be put off until there are other consider- ations or other conditions attempted to be worked out. Keep right after it. Get the thing ready to be handled in the proper shape - get all of the associations and connections - and then let them make the agreements, sign, write same, deliver same for their handling.

13. (Q) Klinkenstein has written [257] an agreement to sign. Are the terms satisfactory? (A) In general, satisfactory.

14. (Q) What changes would be suggested? (A) Only that of [257]'s position in the end and the relationships with Grove and [257]. Let it be KNOWN that their relationships are to be as one!

15. (Q) What should [257] add for his future material protection and profit? (A) Add that, and let their interests be as one, and be

257-40 Page 3

sufficient protection with the chairman of the Board and with the position as should be occupied by [257] in the holding of stock and associations with same.

16. (Q) Should [257] say definitely how much money he should receive for salary? (A) This had best be as to the applications of conditions as they expand, for there will be many - especially with Grove and Grove's associates - through which [257] will be able to gain a much better knowledge of the handling of such conditions, and of the amount of salary that should be commensurate with that as is put forth for the assistance of the undertaking. Make self indispensable WITH the whole operations. This can be made most with Grove, and with the operations of self.

17. (Q) Should a time limit be set for Grove's chairmanship of the Board? (A) This may be made in the form of CONDITIONS.

18. (Q) In the original contract? (A) Or in - RATHER in the agreements as the conditions arise AFTER contract.

19. (Q) Can the firm of Wertheim be relied upon to put the deal over successfully? (A) Be relied upon - for they'll call in others, and others from the very ones that have refused, in a manner - but they can be relied upon, if the word of Wertheim is given.

20. (Q) What time limit should be set for their handling of matter? (A) A decent time that gives the opportunity of all to go thoroughly into the conditions, but the time limit should be in keeping with the time limit as is asked for by GROVE.

21. (Q) Will Grove agree to ninety days? (A) That would be rather hard to indicate. There will be some changes - that's one of the reasons why it would be necessary for [257] to meet Grove in St. Louis again.

22. (Q) Did [257] do right in eliminating Hammerling by written agreements? [Max Hammerling, lawyer.] (A) Did right.

23. (Q) What share should go to Hammerling for introducing [257] to Wertheim? (A) That agreed upon at first,

24. (Q) Are there any suggestions [257] should make Klinkenstein to aid in handling purchase of company? (A) Not other than those that Klinkenstein will ask for as developments go.

25. (Q) Should [257] mention definitely or as agreement reads about his future with new company and amount of income he is to receive? (A) This is as has been given.

26. (Q) Please dictate the full terms that [257] should ask of Wertheim and Company? (A) These have been agreed to in part, that has been given is satisfactory, with only the changes as have been outlined. Let it be known definitely that [257]'s interests are with those OF Wertheim, but as an ACTIVE force with Grove. Also that, as the efforts of the body to act in the capacity of the directing force, so as to increase the advantage as is gained by the activities of the larger capitalization, that this basis will be the basis for the INCOME from same, as well as of the stock itself and of the interest for the first handling - that flat, or course, as given.

27. (Q) What agreement should [257] make with E. W. Grove, Jr., as to what he should receive for handling sale of company? (A) That of the commission as is given in such conditions, as well as that of the good will of each in handling conditions and the new changes in the operations as one.

28. (Q) Should [257] suggest any written agreement with Mr. Orr of St. Louis Union Trust at this time? (A) Only when the ready action is in hand.

29. (Q) What will be Fred Seeley's future connection with new company? (A) Advisor.

30. (Q) Openly or secretly to [257]? (A) Secretly at first, but gradually in the open.

31. (Q) What consideration and profit are [257]'s business associates - Ben Lauterstein and Irving H. Isaacs - entitled to? (A) Only that as they show their ability to be of assistance in handling the proposition.

32. (Q) Will they be necessary to close the deal? (A) In a manner, they will. More as that of the background than of actual operations, though a word from them could EASILY spoil the whole operations. Hence the good favor must be continued to exist in the handling of the operations. This could only come through that continued good will as is necessary, that is coming to EACH through the ability OF the associate to handle such as undertaking.

33. (Q) Why did Ralph Jonas fail to act in handling this deal? (A) Other interests interfered - but, as given, will be partly in on the deal before it's through.

34. (Q) Did Irving Isaacs discuss the matter with Ralph Jonas? (A) In a manner, yes. Not to a great extent.

35. (Q) Was it helpful? (A) WILL be later on. Not at present. Other interests interfered.

36. (Q) For what amount should new company be recapitalized?

257-40 Page 5

(A) Fifty to a hundred million.

37. (Q) Will they be able to do this on this one holding? (A) Be able to do this, with the expansions, in this holding.

38. (Q) Have Mr. Jonas' associates informed him they are endeavoring to buy the company? (A) They HAD so informed him.

39. (Q) Has [257] any particular condition or happening in this negotiation to be warned of? (A) None other than as has been intimated or given here.

40. (Q) [257] mentioned Cayce to Grove. Is it advisable now to introduce Cayce to him, since he has manifested so much interest? [Work:EC] (A) At the proper time, yes.

41. (Q) When would be the proper time? (A) When it was the proper time to negotiate again with Grove!

42. (Q) Has [257] conducted himself in the handling of these negotiations properly, in the sight of God and man? (A) Correct.

43. (Q) How can [257] further prove himself worthy of the divine help and guidance? (A) Be unto those as are in the negotiations, that as is the necessary stay for each, so that the dependence upon the activities of [257] are such that each individual finds the reflection of that ennobling self that goes with that of REAL good business. We are through.
