Time of Reading 4:00 P. M. Eastern Standard Time. ..., N.Y.
1. [257]: You will have before you the body of [257], who is present in this room, and associates who are located in New York, in Nova Scotia - at the city of Chester, the Paris Medicine Co. of St. Louis, Mo., and other associates and conditions around the entity [257]. You will give this information, especially in reference Joseph Klinkenstein of Wertheim & Co, N.Y. bankers, and other firms with whom he may become associated. Please be patient and unstrained until full answer to all requests and questions asked. When you have located [257] and those conditions, please review the conference between Edwin Grove, Ike Lande, Ben Lauterstein and Meyer Bosky, and the mentality [257], held in room W 618 Statler Hotel, Boston, Mass., at 10 o'clock last Wednesday morning, giving us the result that will be obtained and advice for us to proceed by. After you have given us this review, we will ask questions for our guidance and the successful termination of the purchase of the Paris Medicine Co. by [257] and associates. Please give the information slowly and in detail.
2. EC: Yes, we have the body, the enquiring mind, [257]. This we have had before, also those associations and those connections, also those conditions as have arisen from the meeting in Boston, and the various conditions - and varied circumstances also, as are and have been brought about by these conferences. In the conditions there have arisen some conditions that are satisfactory, others wherein changes, as have come in the minds of some who have been consulted - these have made circumstances such that the whole of the position, in a manner, seems, or apparently, is changed; yet those conditions bringing about such change, and those suggestions as have been made as to how such may be met, will - were these carried out in the proper way and manner - work to a satisfactory termination for all. In the first place, we find a differentiation in that as was to be furnished by bankers in capital, and in that now apparently required to consummate deal. We find also circumstances such that there apparently is need of more time to

consummate the whole of the plans necessary to meet the conditions as will be required of same; yet we find with the changes as have been suggested by the legal end - of COMBINING, not wholly as the legal end has suggested, but combining the interests of others that are in a position to take on the management, the handling of, and the proper arrangements WITH the bankers and with the peoples whom the legal representative represents himself, only do not let such change cut in on [257]'s proposition. That's a warning, see? and these may be carried to a satisfactory termination within the time, period, as has been set. It may, with the changes in such a set-up, be necessary for [257] to interview Grove again, in his present surroundings, yet were this thrashed out thoroughly in the meeting as is contemplated being called Tuesday, next week - or call it then - that these things may be handled successfully. Do that.
3. (Q) What should [257] demand for his part, considering the new conditions? (A) They should be at least in the regular channels. In some respects more than same, for at least there should be an understanding with [257] and the Grove interest. There should also be an understanding with the banking and the legal interests, and it should total at least fifteen percent of the cash handled, with of course the SAME amount running with the stock as with the rest. The interests in St. Louis need not be consulted until Grove has said his final yes, and with their interest and Grove's interest this will have little trouble in the handling or closing of same, when that comes to the final handling. Then the amounts would be something like twelve to fourteen million cash, with one million for Grove's interest or name and good will. Don't divide these - good will and name.
4. (Q) How much stock in addition to this cash? (A) That as has first been given, so that the commensurate income from same would be in keeping with that as has been the income to Grove personally from same. See? that is, as the interest shows there has been so much income, personally, to Grove for his association. Not a good will, not a name, not a penny invested, as far as that, the individual, concerned, of self, except that given him - but the stock and its dividends from same should equal something to that amount, and that APPROACH speaks well to the body, see?
5. (Q) Is Grove satisfied with [257]'s attitude? (A) This very good, as has been given before. This very good. The CHANGE, as is seen, is more of the business

tactics of the man himself, and not of displeasure or distrust in any sense of [257] or [257]'s actions or activities. These may be verified, not only BY that as has been spoken as word of mouth, but of the consenting even of a proposition with the statistics or data as concerning the operation of the company.
6. (Q) Is Grove pleased with [257]'s associates that he has met? (A) Not wholly. These, however, are AGREEABLE to the body so long as the confidence as now held in [257] insists that these are satisfactory and mean to do right.
7. (Q) Should [257] follow advice of Isaac Lande and take proposition to Sterling Remedy Co. to handle as a consolidation with them? (A) Only when there is the necessity of making such a combination for the handling of same. Or the refusal of the bankers without such a coalition to facilitate the proper handling. You see, here a condition is confronting the banks and interests that, while the proposition is good and satisfactory to investors from the standpoint of the money, or money interests, yet such a business is only valuable OPERATING, and to have interest such that the facilities for handling of same is made EASIER, then clarifies much of the situation. Not only for the Sterling but also for Wertheim and Wertheim interests.
8. (Q) Will Wertheim accept the new proposition as outlined by Grove? (A) More that as will be outlined by Lande.
9. (Q) I have Grove's proposition in my hand - (A) Well, this will be changed when Lande has gone over the proposition, you see, and will be acceptable to Grove as a final action.
10. (Q) You then advise to go through Wertheim as originally instructed? (A) We haven't changed from that as YET, though there have been some conditions - See, Lande holds an upper hand, as it were, (though he is enough high-minded not to overstep the boundry) on Wertheim, and on the Sterling peoples, and may make a nice combination. Just don't let Lande work [257] out!
11. (Q) You still feel that [257] and Grove should be directors in the new company? (A) They should!
12. (Q) Should we insist, even to the point of putting the deal in other hands? (A) No. Not to that point. That wouldn't be necessary. May be used as a lever, but it's too good a proposition for Wertheim or for Sterling not to take.

13. (Q) How long should be given Wertheim to act finally? (A) Not over ten days to two weeks. With all that necessary in his hands, why should it take longer?
14. (Q) Will Wertheim's partner Klinkenstein be able, and have the authority to close the deal without M. Wertheim present? (A) He may be GIVEN the authority!
15. (Q) Should [257] be present, or have the attorney Lande be at the meeting Tuesday? (A) Have the attorney at the meeting Tuesday.
16. (Q) And [257] should not go? (A) Why should he not go?
17. (Q) I believe that [257] should go. (A) I believe that [257] SHOULD go!
18. (Q) Has Grove any other plans in mind? or is he waiting for [257] to handle same fully? (A) Waiting for [257] to handle same fully. That's sure! at the present time. Of course, there have been many offers. There have been many outside, and once the idea takes the action there may grow others, but you may be very sure, not only in this particular interest but in many others, Grove will submit many things to [257] that haven't been submitted yet!
19. (Q) Was sufficient time asked of Mr. Grove to - (A) Rather a short time, when so many interests are to be concerned, yet we see no reason why this should not be consummated by the 3rd of August.
20. (Q) Will Wertheim make any effort to see Grove without going through [257]? (A) That's a hard thing to answer. But under the present situation and conditions, what good would it do? Only be raised in price, and be more to be considered, and not the opportunity or the way in which to handle same!
21. (Q) Will Lande be able to carry out his plan successfully as now set in his mind? (A) It's very good, and we see no other reason why he should not be able to carry these out successfully. Not only will it enable him to work one against the other, but - as we find it - has so set, and will so set the conditions, that scarcely without Lande would Wertheim be able to handle it, even with Grove - yet without the action of [257] AND the action WITH Grove could not be handled.
22. (Q) Which is best deal for [257], for Grove to sell outright, or as first planned - say twelve million, balance to Grove cash, and stock? (A) Best for [257] sell outright.
23. (Q) And still remain a director? (A) Remain a director! That's understood!

24. (Q) What should Lauterstein's position be, considering the efforts he has put forth? (A) That, as is seen, will not be wholly satisfactory to Lauterstein in the first position in which he will occupy. In the second or third Board meeting, after the changes, these will come more satisfactory. Rest assured of that.
25. (Q) As I understand that, Lauterstein is also to be a director. (A) A director.
26. (Q) What advice should Lauterstein have for Tuesday's meeting? (A) Don't talk too much! and listen to Lande!
27. (Q) Does this same information hold for [257]? (A) [257] will be asked questions in the meeting Tuesday. Then talk, or answer that asked, and do not expand on same TOO much, but give it fully. For [257] represents Grove's interests, as well as self. Grove feels same, and will expect same. While the other interests are more self-centered.
28. (Q) Should [257] have a written - (A) His word is good! Rather have his word than his contract, with Grove!
29. (Q) What should [257] be guided and guarded against at this stage of negotiations? (A) That Lande does not so set the final arrangements such that [257]'s interests would be jeopardized in any way! that is, with the change of conditions, do not let these changes take any portion from the hands of [257], see?
30. (Q) Will the Forces say what the total amount for [257] should be, for his guidance? (A) This is as has been outlined, at least fifteen percent.
31. (Q) Is that for [257] in an undivided manner? (A) For [257] AND those whom [257] has had to aid IN same, see?
32. (Q) Why did Grove change his plan? (A) As is outlined, see?
33. (Q) Which plan is best for GROVE, the first or second? (A) As has been given. Not too many days for Grove, and to be loosed from as many as possible the better condition.
34. (Q) Will the next meeting with Grove close the deal? (A) It should.
35. (Q) When should the meeting be held with Grove, for their conference? (A) When the others are ready and the conditions are set for same.
36. (Q) Is there any special day that would be best for these people to get together, from a numerical standpoint? (A) We do not find it so. Too many interests are involved to class this numerically. For [257] it must be with three,
