Time of Reading ... St., Apt. 14-W, 12:00 Noon - Eastern Standard Time. New York City.
1. GC: You will have before you the body and enquiring mind of [257], who is in his office at the Federal Wood Products Corp., 419 Lafayette St., N.Y. City. You will have before you all of his business associations and relations, and answer the questions regarding his mental and material affairs that he has submitted, as I present each to you.
2. EC: Yes, we have the body, the enquiring, [257] - this we have had before, also the associations and the relations. Ready for questions.
3. (Q) Is the company now proceeding on right basis to make a success? (A) There are many conditions to be considered in making a success of the products of such a company or corporation. There are many individuals, and individuals' activities, to be considered. As for the policies as are now being outlined and attempted to be put into formation, these - as we find - are very well, will they as expediently as possible with good judgement be put into operation; for many of the changes must come, as is seen, with these policies, these plans, becoming effective.
4. (Q) Should a new division be organized with Louis Gold of 50 East 42nd St., N.Y., as a partner, or should he be admitted as a partner of the parent company? (A) As one of the parent company, THEN the various divisions OF the company will be set up quite a bit differently!
5. (Q) What value would Gold be to the organization? (A) That would be limited only by the amount of time or consideration the body Gold, individually, would give to the considering of the various problems, of the various portions of the organization, or the various individuals that would be associated with the organization by the advent of Gold into the organization. As to whether he is taken in or as to whether he becomes a part OF the organization, to be
257-76 Page 2
sure, depends upon those who now control same. As to his value, as to how much time he will - or his associates would - give to the developing of the organization.
6. (Q) Is the company thoroughly protected on its patent rights on the Regulators for dispensing soap powder? (A) As far as the permits and the guarantees of such patents GO, protected. That others may make SIMILAR, or small changes in similar containers, is apparent - but, as for the protections, these are as well as may be had on such.
7. (Q) What is the greatest field for this business? (A) This question is very inadvertently put! for there are MANY fields of endeavor for the products of the company. If referring to the soap, then - to be sure - those places, those fields, where this is most universally used, which - to be sure - is in those places where the greater need for such is of natural consequence. If in some OTHER fields of products of the same company, then in THEIR fields. WELL that those of the various representatives of the company, in their respective fields, be divided - rather than so much, or so many products be under ONE supervision. Do not let them overlap! Let them rather be COORDINATING and COOPERATIVE one with another - see? but in any given territory (This is far apart from that asked, to be sure - but, as given, this is inadvertently asked), in any field where there are so many VARIOUS products, there should be different REPRESENTATIVES OF different lines. Not each, necessarily - but the products themselves NATURALLY CLASSIFY themselves in the various fields of activity - see? Then each has, each product has, its own particular field, as is formed by the CLASSIFICATION of the product itself, its usefulness, its adaptability to those various portions or various fields of use, and these - when set aright - will be found that those of the one product will be more easily disposed of in one section than in another. For instance, LITTLE of the powders may be sold in Arizona or New Mexico, while many of these of the polishes or oils - MUCH may be used or disposed of in that particular territory - see? This would apply the same way in the various or different products. Hence, as was given or referred to, that the POLICY as has been set is very good - while the activities so far are quite a jumble!
8. (Q) What should I do to assist [279], after the situation that happened in my office yesterday, Tuesday? (A) That is of itself the very character of situation as exists in many or of the various associates with those that would dispense, disperse, or dispose of the products of the
257-76 Page 3
organization! They are rather jumbled, see? Are the associates of [279], or of those connected with same, to be considered in various capacities, then the capacity of - or the ability of - the individual will naturally classify itself in its ability, or WITH its ability, in a particular field of activity! In this way or manner should it be considered. Then it would be dependent UPON the associations of associates, rather than of individual activity, until that PHASE of the matter was decided upon.
9. (Q) Should I discuss entire matters, explaining details to Mr. Louis Gold? (A) He won't consider it unless it all is! and there's no use trying to hide anything! Either be fair and honest, or leave it alone - for he's a straight man!
10. (Q) What was the intention of [279] in approaching the chemist? (A) Only that there might be a better understanding. An inadvertent approach, but not malicious - or in ANY manner the way in which it was looked upon by some!
11. (Q) Would Mr. Monroe Gold be a valuable asset to business? (A) In particular fields, he would.
12. (Q) Is present organization as set up by Ben Lauterstein sufficient to make complete success of business. (A) That would depend upon the expansion that is to be made, or the valuation of a thorough organization qualified to handle all the various products, and as to whether it is to be made to be of service in the field in which it has undertaken, or being builded to be sold to someone else later on! That depends upon those factors! It is to be a corporation or an organization that is to make, manufacture, deliver, then it needs more cooperation in greater fields! Is it to be builded as a proposition that is to show PROFITS for the time, that it may be increased, or sold out to others to be expanded upon, then it's plenty large! but there'll have to be a different policy from either of these, as has been seen. The policy OUTLINED in one direction is very well!
13. (Q) What building in N.Y. is the best situated for the present needs & 1932 expansion of business, for general offices? (A) Any building where the offices and expansion of same may be HANDLED in a manner that will make for the least waste in the activities and the various channels through which these are to be acted upon. Whether as a shipping post, or whether as an executive office, depends a great deal upon the place or the situation. Whether as a clearing office FOR the executive office, or the executive office AND clearing office for the various fields of activity - all of these necessary for consideration. Any of those that have
257-76 Page 4
been considered would be very well. But FIRST these questions, and these conditions as are seen, NATURALLY OVERLAP one another! The policy, the expansion, the body corporation, or parent corporation itself, with its various fields of activities, all of these should be settled. If it's to be active with the present, not so large. If it's to be with an expansion that is to go on for the better good that may be gained in the larger expansion of the products of the corporation, NECESSARILY it'll be larger.
14. (Q) How much capital will be required to carry business to the success planned by Lauterstein and I? (A) Well, it hasn't been decided as to how far it's to be carried either by Lauterstein or I! This depends upon many of the various activities! The AMOUNT as has been set as would be NECESSARY is for ONE thing, but the IDEAS in the back of the heads of many is for another plan entirely! Now we get these together before we would act, or else there must continue to be consternation or turmoil among the various DISTRIBUTORS of the product throughout the country! See?
15. (Q) Will Louis Gold have available sufficient cash and bonds for a proper set-up for immediate needs of business? (A) More than enough!
16. (Q) When will he be ready to come in? (A) When it's properly set up! and when there is the full determination as to which portion, or which character of the carrying on of the business that is to be done! He doesn't expect to go into the soap or the chemical business, in this particular direction - but associates, connections, and directions of a business that is to be on a basis where the returns are to justify the activities of the individuals and associates interested! Set it in that direction, if he is wanted or needed!
17. (Q) What advantage and profit will this investment bring to him? (A) This has just been outlined. It isn't for particularly self; rather for associates, connections, and the aid in the establishing of that that is a profitable business. This would be about a twelve to fourteen percent on the investment, individually, for him.
18. (Q) Will he be happy with the association with Lauterstein and I? (A) Provided they are set properly, he will.
19. (Q) What markets will be most profitable for the present line of merchandise? (A) This is inadvertently asked also! This has been OUTLINED! Read that.
257-76 Page 5
20. (Q) What branch of business best to develop for quickest and best profits? (A) That's easily understood - in the granular soap proposition and the cleaners.
21. (Q) Is it advisable to take partners in now, or will business be able to develop without the outside capital? (A) As has been given, that depends upon the policies, or for what purpose this is being set up in the present. Is it to show, as has been given, a profit, that the business or part of the business is to be disposed of for larger sums, the present capital, the present set-up, sufficient. Is it for the larger expansion of the business, and to GAIN FROM such associations, and the use of the business itself, then expand!
22. (Q) How much of my time will be needed for business? (A) Depends upon which department of the business, or what PARTS of the various classifications as they would be eventually set up, or whether in the executive office or whether in distributing office, or whether in the one field or the other, as to how much time would be necessary of the individual body. Or as to what disposition is put. As an ADVISORY one, would require about one to two days of a week, or one to two hours of a day. As one that is to CONTROL the DISTRIBUTIONS, it would require at least a third of the time. As an executive in the office, where complaints or the activities OF the various distributing - it would take about all the time and then some!
23. (Q) Will the Quaker Chemical Corp. of Conshohockton, Penna., be a satisfactory and profitable source of supply for the company? (A) Depends upon how the set-up is made between the two. As to some of the products, as to some of the things, a satisfactory connection, satisfactory source of supply. As for some of the others, you'd better rely on that you have closer in hand!
24. (Q) Which one closer in hand? (A) That of the cleaning products; that of the more highly developed soaps, oils, or the like; cleaners in the various fields.
25. (Q) Advise me what to guard against and what to do to make company successful. (A) Study that that has been given, that as to whether it is being formed for a complete organization or for temporary. Then be warned that it cannot be approached or be made to appear for a little while without the sincerity. Be as sincere with those interesting in the proposition, as you would have them be with you! Whether you are taking their
257-76 Page 6
money or giving them money, be that same sincerity of purpose with all concerned.
26. We are through for the present. [Continued in 257-77 - 4:00 P.M., 12/30/31.]
