1. GC: You will have before you a meeting of the Board of Directors of Stewart-Warner Corp., Friday morning, May 13th, between 10 and 12 o'clock, at 1828 Diversy Parkway, Chicago, Ill. Please advise [257], and Arthur Epton, the owner of the patent on the two-way hinge which stands on the box outside of the door of the directors' room of Stewart-Warner, and Carl Mason, Chief Engineer, whether proposition of President C. B. Smith should be accepted on the basis suggested by him. You will answer the questions I will ask.

2. EC: Yes, we have Stewart-Warner meeting, propositions as presented by Smith, and those interested in furthering of the two-way hinge proposition.

3. As we find, the proposition as presented by Smith - would there be changes relative to the sales management (which is understood in some ways or manners; not altogether, but), and would these be made sort of coordinating in their manner, these would be well to accept; that is, as the proposition has been set, [257] is to direct, but is not to have the whole management of the sales forces as concerning same, and as to the manner in which the royalties and those things as concerned in same are to be handled. These would be well, but we would have the sales management as a COORDINATING thing, but directed by [257] in MOST of its entirety.

4. (Q) What did the Board of Directors direct him to offer [257] in money and royalties? (A) Take this as it has been set! THESE would be giving [257] information that is not his, until ready to be presented in the proper way and manner. Don't go TOO far! Don't take ADVANTAGE of the situation! Be rather PREPARED for the various situations!

5. (Q) Should [257] retain his stand as explained to Smith in reference sales contact, or what concession should he make? (A) Just as has been given. This has been outlined. That

257-82 Page 2

the sales contact or sales management should be as a COORDINATING thing. That concession we would make. That is, as there are many CHANNELS through which this is to be carried out, then this should be allowed - as they are - to take and pay cash, as well as royalties, to be directed coordinatingly with the Stewart-Warner and with [257], see? more on a COOPERATIVE basis; for to give one and not the other concession would be to defeat the very purposes, unless [257] would devote more of his time to this special proposition! Then the proposition would warrant - or that he would desire to, owing to the other propositions in hand!

6. (Q) How much cash money will Smith pay if sales is to be disregarded? (A) Well, this is HARDLY a proposition for cash without sales proposition with it; for unless there can be shown that there IS an outlet almost immediately, sufficient to warrant their handling same, it is not much of an interest - see? While these will will offer an outlet in some particular fields, but not of sufficient or large enough nature, unless - This has to be worked, as well as any other proposition!

7. (Q) How can [257] become the sales manager for the particular two-way hinge? Should [257] insist on the sales' managership? (A) This has just been given - in a COOPERATIVE way and manner, unless he is to devote his whole time - and which would not warrant his giving the whole time, considered the propositions! He is balling himself up with it!

8. (Q) What advantage or disadvantage would it be to the deal or to Epton? (A) It adds to the possibilities of the royalties being sufficient to make it worth while for a deal at all!

9. (Q) What advantage to [257] will the sale in 1932 or this year? (A) Depends upon how it's to be handled! Depends upon how cooperatively the sales end of it is to be handled! and the outlet that is to be created by the presentation of same to the various fields that offer an outlet for such. In thirty-four we would find it would be FINE, for it will be then on more hinges that go in behind closed doors and bars!

10. (Q) Will Stewart-Warner finally accept [257]'s proposal of cash, royalties and sales managership from the hardware section? (A) This is still problematical, unless it is handled in a COOPERATIVE manner.

11. (Q) Should [257] phone them or wait to hear? (A) Wait, and then phone if he doesn't hear.

12. (Q) Who should handle situation now for [257]? (A) One that's already opened the negotiations.

13. (Q) What can Chief Engineer Mason do to aid [257] to

257-82 Page 3

close the deal? (A) Present the outlets and possibilities for the use of the hinge in its various fields.

14. (Q) What are the possibilities of the patent and sale of hardware to other industries, such as automobile doors? (A) Not so much automobile doors as in other fields that have been opened, and will open as the serviceability of the patent is presented in its various forms.

15. (Q) What other fields will open themselves? (A) It's just given!

16. (Q) What large concern should [257] visit immediately if we do not close with Stewart-Warner, and which ones if we do close with them? (A) Shapleigh (?) Hardware would be well. [Shapley?]

17. (Q) Why does Vice-President Zucker seem so antagonistic? What can [257] do to get his good will, and how shall he approach him? (A) That is because there are other interests which he feels are being overriden, and a great deal of it is to see how far [257] would act in the capacity as an acceptable sales- manager in cooperation with the outlet in the hardware end.
