1. GC: You will have before you the body and enquiring mind of [257], who is in Mr. Albert Kahn's office, in the Center Bldg., 3rd floor, Detroit, Mich., and the board meeting of he and [1565] with the directors of Truscon Steel Corp. yesterday in their offices at 615 Wayne St., Detroit, Mich. You will please review this board meeting and answer the questions which he has submitted.
2. EC: Yes, we have the body, the enquiring mind, [257]; also those mental reactions of body and associates from meeting as held.
3. While there are some changes in the associations, that are indicated by the terms of agreements, contracts, and the like, these in the whole, as we find, do not alter the situations materially, other than that there must be more of the production of the activity in the sales end before there begins the divisions of the profits, as has been outlined. While for the present there are curtailments in some of the assistance in the handling of [257], Inc., these in their final analysis should make for as equitable an association, and in many respects some of a more agreeable nature.

5. (Q) Is the proposition as laid out by directors of Truscon Steel a fair basis for me to accept? (A) With the exceptions of these as given, a fair basis. Be sure that self and associates are in the position to meet the requirements, without there being any hindrances in the producing of that necessary to meet the requirements.
6. (Q) What additions or changes in plan should I suggest, if any? (A) So that there is an open way for the body and associates to handle their portion of agreement, or contract. Then take as it is. If there are any questions or doubts as to the ability for carrying out all that which is required, or that must be done to meet the needs or demands, then alter or change so that there can be no question in self or associates in meeting the requirements.

7. (Q) Should I agree to plan of eliminating finance company and only selling on cash basis? (A) Under the existent conditions, unless there can be some arrangements for financing, this will make for an uphill business, though it may be carried forward at some portions of the handling of same.
8. (Q) Will this condition be changed by January first? (A) If the agreements demand of same, they may be changed!
9. (Q) Will success of proposition be affected by not selling direct to consumers on terms? (A) This will alter some the QUANTITIES that may be disposed of through the selling organization, but once perfected in the manner that this is carried through more of a local organization - will be more effective.
10. (Q) Should I sign this agreement Monday at Youngstown planned by Julius Kahn, who is now at Truscon offices in Cleveland, Ohio? (A) If the requirements are in line with that just given then sign. If they are not, insist that they be made so that there be no disillusionments in self or in others when conditions arise that make for disruptions, through the alteration in disposition, or the cash basis, and the variation in the direct handling to consumer.
11. (Q) Are times such that [257] and associates can fill those requirements? (A) As has been given, in some localities and with some associations this can be carried out, but it will CURTAIL the AMOUNT of distribution, to be sure, under the existent financial conditions in the country.
12. (Q) Should that not be considered in the agreement with the directors? (A) That's just what we have been giving! Read just what we have given here!
13. (Q) Should I wait to sign agreement until I return to N.Y. and have advice of my own Lawyer? (A) The greater ADVICE to be considered is that within self and self's associates, as to whether they are capable or in the position to carry out their portion of the agreement!
14. (Q) What would be a fair settlement between Lionel Popkin, lawyer, and myself, on the Albert-Pick matter? (A) That which has been given when it began. This should have been decided upon before there was any definite arrangement made for the settlement. Look at that which has been given! and you will see that this has ALREADY been outlined! Under the existent conditions, the better manner of settling would be to choose one by self, let Popkin choose one, these two choose another - and abide by their

decision, to prevent any disruptions.
15. (Q) Should I continue with Popkin as my personal lawyer? (A) That should be decided in self, rather than through these sources; for we are dealing with material things and personalities!
16. (Q) With present set-up in Truscon Steel and directors, should I rely upon their lawyer for agreement and future dealings, or have my own? (A) Well to have own as well as theirs! As has oft been given, two heads are better than one - if one is a sheep head!
17. (Q) Would Universal unit made in Detroit be a good unit to use? (A) This has been gone into thoroughly. We would refer to that which has been given, in the variations and what are the requirements for such a unit.
18. (Q) Please advise Julius Kahn what decision he should make, considering Board of Directors' suggestion, to insure success for my plan. (A) This had rather be sought through the same channels, but in the considerations of conditions that have arisen these questions must be settled rather with their own individual reactions to the conditions, the various problems, the various oppositions, the various changes that apparently are necessary, and then an equitable agreement or understanding be BETWEEN Julius Kahn, [257] and associates, and the Board of the Truscon Steel; for unless there is the proper cooperation, and the proper cooperation set in such a way and manner that there are not hardships placed upon an individual, or an individual group, that will cause disruptions to arise in the inability of some ones to fill their portion of the agreement or contract, this cannot be the success that has been outlined. As seen, there is an illustration of this very condition in the operating of the units that have been requested for disposition through the activities of the associations of [257], and those activities in the producing of the Kahnstant Koolers, that more SALES have been had than there are the products to produce or to deliver! Hence there is already the condition which has arisen as to make for question marks! Then, in making such an agreement where production may be had in such quantities that it may be used for the distribution in the various fields or centers, consider HOW these are to be met, in the light of the manner in which these have already been contracted for, or spoken for! Then, when these conditions are settled within the satisfaction of all concerned, ACT!
19. (Q) What will be good trade name for box?

(A) This has already been decided! Why change from that?
20. (Q) Advise [bro.-in-law 1565], present with me, what he should do within the next two weeks to further the plan. (A) Depends upon what the plan is that is set, and HOW this may be met by the associations that have been made; as to whether these are to be handled direct with the individuals that have already been contacted, and contracts or agreements agreed to, or whether these are to be changed! Are they to be changed according to the manner and way of distribution, then the next two weeks should be used in straightening out the matter - and not let it hang over or drag. Do not allow a condition to arise where it peters out within itself! Either kill it or enliven it, in such a way and manner as to know the position - and not fool self as to what is to be done!
21. (Q) Please advise me what I should do in the next two weeks to further plan? (A) This will be much in the same line as the conditions have been given. If there are to be contacts made where individual groups are to handle, or there are to be individuals who ARE to handle, then act in the capacity or in the manner to further those things necessary to meet the REQUIREMENTS or conditions - see?
22. (Q) Would [257] be a greater success working with his own organization (that is, without partners), or contacting another company? (A) As a sales organization are the better conditions for the body, but there is the necessity of the contacts for the production of that which IS to be sold! Hence, under the EXISTENT conditions, if all the agreements and the necessary arrangements can be made for the handling of same, this makes for the better situation - to be sure! A good SALESMAN may make a success - but he must have the stuff to sell!
23. (Q) Any further advice that will be of help and benefit to me at this time? (A) Follow along those lines that have been given, as respecting the various associations and connections that are necessary to make for self, associates, and keep the policies above reproach.
