1. GC: You will please review the meeting of General McRoberts, Fred Seely and [257], in the General's office at 149 Broadway, 2nd floor, New York City, yesterday afternoon at 2:30 o'clock, Sept. 27, 1932. You will advise what was accomplished in the meeting, and what should be the next move for each of the parties mentioned. You will answer the questions, as I ask them.
2. EC: Yes, we have those conditions that present themselves in this conference.
3. As to that accomplished, we find that there are definite negotiations being made in many directions that will apparently produce or bring about the combination of many of the distributing products of drug, that will be organized more and more under one head. In the organization and the bringing about of such a combination, those interests that are made of such import to Seely and [257] may have a definite place in this organization.
4. Then, these conditions depend on how great a number and just what nature the combine will take, as it gets into shape. Those interests that have represented, or do represent Drug, Inc., and McKesson & Robbins, Pure Foods and General Foods, are STILL being considered, as well as one or two of the larger distributing properties or centers through which the manufacture and distribution are considered as large outlets in the present. Also, some properties or compounds that are of little note in the present, that have real value to such distributors, such manufacturers, are to have serious consideration.
5. The activities, or that to be expected in the present, then:
6. For the time there must, due to the nature of the situations, be left considerable of the conditions in the hands of McRoberts to present for consideration as these combines take more and more definite form. These, however, are not to be allowed to go too long without there being the

reminder that this is of necessity to be considered in the special period when there may be that consideration of the Paris Medicine being changed in its entirity, the price that is to be considered in the present, while not from the standpoint of those interested in this particular meeting, must be set on the basis that has been outlined, as the percent, or ten times the net earnings of the organization, or the company, in and under the present operations or policies. It is true there are some policies of this particular organization that are to be changed when this is transferred, or become a portion of the greater organization, yet these needs be considered in this particular time.
7. So, only urge that this be given due consideration, as the ways and means are being perfected for the greater organization that is to be inclusive of so many smaller organizations in the present.

9. (Q) What should the fair arrangement be? (A) As given.
10. (Q) What commission should [257] expect on present arrangements? (A) In line with that which has been heretofore, but this should be rather understood and brought to a head, when there is the possibility or the probability of its consideration in the whole organization.
11. (Q) Are there any other parties [257] should see, or should he stay in the channel of Gen. McRoberts? (A) In the channel of General McRoberts in the present, but do not allow too long a period to elapse. Be sure the consideration of the Paris Medicine is taken into consideration in the general reorganization.
12. (Q) Is the treasurer of Drug, Inc., sincere in his statements to the General? (A) Sincere in so far as his abilities lie.
13. (Q) Is the treasurer, McClinnoch, representing a personal group or Drug, Inc., direct? (A) Direct, more of a group, which includes some of the Drug, Inc. group crowd.
14. (Q) Is there a merger pending with McKesson-Robbins, and if so with whom else? (A) This has been undertaken with several others, as has been outlined. Follow this as has been given.
