1. GC: You will have before you [257] of ... Ave., N.Y.C., now registered at the Drake Hotel in Chicago, Ill.; Albert J. L. Dueth and Chester Gordon Hall, who will be at 122 East 42nd St., % Interstate Syndicate Corp., N.Y.C., known as Group #1, who have entered into a contract with Roger L. Wensly, President of the G. M. Basford Co., Lincoln Bldg., N.Y.C., and A. Bair Bassoff, inventor (known as Group #2) of the variable speed transmission for automobiles which can also be used in industries in the form of a speed reducer, of which the patent attorneys are Darby & Darby, who have applied for Letters Paten Serial #651224 filed in the U.S. Patent Office, Jan. 9, 1933. You will answer the questions for the enquiring minds of Dueth, Hall and [257].
2. EC: Yes, we have the individuals who are interested, and those conditions presented in the patenting of the applicator which is to act in the capacity of the generator or the control of speed in auto and kindred motor appliances.
3. Ready for questions.
4. (Q) Darby & Darby, the patent attorneys, claim this is a basic patent. Is this so? (A) The application is for basic patents, but - as we find - there will be considerable confusion in this not interfering with at least two other conditions; one the gearing arrangement and the other the floating valve arrangement, both that have patents, and there will be questions as to whether or not THIS interferes with same. On the greater number of claims, however, this will be given a patent, and would - in the main - be a WORKABLE one, without the possibility of interference from these other sources. As to the basic principles, however, we find this will be questioned.
5. (Q) Has this variable speed transmission the merit that the inventor Bassoff claims for it?

(A) It has merit; but there is the necessity for work to be done in making it a practical, applicable thing to the work that is to be accomplished. We find that the better position for Group #1 to maintain toward Group #2 (as they are indicated), would be: That, when there is a COMPLETED model - that may be shown, as to HOW it may apply to the engineering conditions necessary for the action in the speed transmission of the motors used in the various cars at present, then there may BE the assurance that there would be sufficient capital, or effort expended to interest capital in promoting or in USING same in the various fields. For, as seen, there is THIS condition to be considered: It is one thing for an appliance or a transmission gear to be a practical thing, and another for it to be so changed as to become practical in the already BUILDINGS in the various motors that are used in the various cars! But, there is one that is SEEKING - and is ready for a change in the transmission, that deals with this very condition. With this MADE applicable, practical, it may then receive consideration in time to be considered for use in the Ford organization.
6. (Q) Is Bassoff's idea for this variable speed transmission solely original with him? (A) Nothing may be said to be solely original with an individual! But it is made up of ideas and of conditions that have been retained by the body in its varied or variable experiences. Yet, as indicated, in that given respecting the patents and those portions or points that will be allowed, with this ALLOWED - and then the transmission made adaptable, so that it may be used in present motor BUILDINGS or activities - then it is well!
7. (Q) Is there any weak spot in this invention which can be improved on? (A) All would be improved on by the EXPERIMENTATION in ADAPTING it to the needs of the various uses to which it may be applicable.
8. (Q) If this variable speed transmission has all the merit claimed - (A) It HASN'T, as given - but it has been outlined as to how this may be made a practical thing, and to whom it may be presented or shown that it may be made applicable in the present and future developments of this particular car.
9. (Q) Dueth and Hall have a contract with the G. M.

Basford Co. and A. Bair Bassoff to exploit, manufacture and market the variable speed transmission. How can [257] help Dueth and Hall in their proposition? (A) By advising them first (and for the consideration) as to what are the necessary steps to be made regarding those who own or control the manufacture, sale, distribution of the product, and how to make the conditions practical so that it may be turned into practical use.
10. (Q) Should Dueth, Hall and [257] form a new company to finance and exploit this proposition? (A) When this has been made so that it IS a practical thing, without the changing of the motors in such a way as to make its use prohibitive, then they may form the company, then they may enter into the contracts, then they may be assured that it may be accepted and used by those given, that would make it a very much worth while proposition.
11. (Q) What should the name of this new company be? (A) You're not ready for it yet! But, Transmission Company - or something of that nature, which carries with it the activity or that which is to be accomplished - is very good.
12. (Q) How should the stock of the new company be distributed - (A) You haven't got to the stock yet! Let's get ready for it! It will be necessary, of course, that the equal divisions be such that there be no positions where there may be any hindrance in the delivery of the necessary agreements, patents, rights, claims, etc., to those that may make it a practical thing.
13. (Q) Should Group #2 be members of the new company formed by Group #1, and in what capacity? (A) They must be at least coordinating!
14. (Q) Whom should Group #1 approach to finance the new company to market this variable speed transmission? (A) As indicated. This has been outlined. We find that it would be better to consider such a channel; for, when such a channel IS considered, the returns from same would be much greater than the attempt to manufacture, market and distribute same to other or varied companies. Better that it be given to one, and don't be in the position of wanting everything - but sufficient for those returns given in the product itself.
15. (Q) What should Group #1 do in regard to foreign patents? (A) It'll be done alright, when this is set in the proper position as to its patents and those claims allowed!
16. (Q) What general advice should Dueth, Hall and [257] be given, to proceed?

(A) This we have given here, as to the general advice, as to the manner, as to the way, and as to whom. What else would be needed, when these are set right! DO IT!
