Time of Reading 3:10 to 3:35 P. M. Eastern Standard Time. N.Y.C. (Body and enquiring mind, in regard to ass'ns with Herbert Weisburgh and the draft of an agreement he has prepared for Foreign Vintages, Inc., a copy of which I hold in my hand. Please advise as to his proper course of endeavor for 1933-34 activities, and proper channel for activities for best mental, material and spiritual development. You will answer the questions which he will submit, as I ask them:)

1. EC: Yes, we have the body, the enquiring mind, [257], present in this room; those conditions and relations in the various activities of the body, mentally, materially, spiritually.

2. Respecting the memorandum of agreement that is prepared here, regarding the associations or activities of the body and those connected with same in Foreign Vintages, Inc., this would be - with minor changes - an acceptable way and manner of approach. And when these have been considered in all of their ways and manners, as - to be sure - is necessary, the associations and connections there would be very well. While these would not altogether coincide with some of the information that has been given respecting the activities in the other fields, if these are handled in the manner as being considered - and yet being right and true and honest in their associations - there would be ways and manners for many of the conditions to be relieved that have disturbed the body, respecting the material conditions and financial associations. And many of the associations may be made to be most helpful to all concerned.

3. Ready for questions.

4. (Q) Capt. Smith in Q. M. offices, 19th & B., and Capt. Lewis had a meeting in Washington today on water coolers. (A) If there is the acceptance of the credit report (which, as we find, will not be rejected), there will be the order

257-125 Page 2

placed very soon.

5. (Q) Anything I can do to bring it thru? (A) There's nothing he can do in the present, but wait!

6. (Q) What effect will investigation being made by Government on water coolers have on placing the order Saturday? (A) If all of these are correct and in order, nothing.

7. (Q) In what name should order be taken? (A) This has been given before.

8. (Q) What drawing account will Foreign Vintages, Payne and Wanser, allow me to draw? (A) That which has been set or indicated, when all these are worked out as to how much the service or time is to be administered in the activities of the organization. Be near what has been asked for.

9. (Q) For what period? (A) It will be made first for the year and a half!

10. (Q) What good reason will persuade them to give me $2,000 monthly? (A) It'll have to be the necessities of the activities as requiring this, or a like amount for the activities that are put into actual work.

11. (Q) What domestic wine company can I obtain for Foreign Vintages, Inc., to represent in U.S.? (A) The makers or owners of the original Virginia Dare.

12. (Q) What about Tuleri Wine Co. of Tuleri, Calif., Rosenthal order? (A) Don't find so good.

13. (Q) Will furniture business justify me in opening the big plant at Asheville? (A) This would of necessity require or demand that there be a separate organization with other activities and other associates in connection with same. If there is not too great an outlay in the opening of same, too great a demand for the ones that are instigating the movement, be very well.

14. (Q) Should I go in as control owner and sales, on plan suggested by N.Y. and Asheville bankers? (A) Rather as a sales agent.

15. (Q) Should I prepare to devote entire time to Foreign Vintages, or just sell and keep the contacts such as barrels, refrigerators, etc.? (A) This is crosswise with what we have just given. As outlined, this may not necessitate the entire time, provided the arrangements, plans or outlines are set in their regular order as to the interest and the management of same, as may be had by the body [257].

16. (Q) Should I meet Seely at Asheville on Dec. 1st to

257-125 Page 3

discuss ways and means to open Carolina Wood Products Co., with assistance of local banks? (A) Provided it doesn't interfere with those orders or activities respecting those in Washington. Should they do this, better be attended to first; for it may be delayed until even the early spring.

17. (Q) What guarantee can be written that will insure me I can stay on same bases, at least for five years with company? (A) No guarantees may be had, save the abilities of the body to deliver that which will be required of same as in relation to these, and that the first part or first portion of the program that may be set for the first year and a half may have the activities with same, when it may be seen by the one carrying on with the influences that the associations and the activities justify it, the sales justify it; then it may be five or a ten year after that time.

18. (Q) Who is the best man for [257] to work with now: Wasner, Payne or McCarthy? (A) Wasner.

19. (Q) What arrangement should be made on sale of alcohol of American Commercial Alcohol Co. of which Payne is a director? (A) These can be handled, but we don't see it in the picture in the present.

20. (Q) They expect to make the Bourbon and Rye whiskeys for Foreign Vintages, Inc. Will that be successful or satisfactory? (A) We don't see it in the picture in the present, though it may be in later. We do not see it in the present arrangements. For, as for the first portion of these - that is, the first sales - all of these have been practically already prepared for by that in stock, that which has been held and that being prepared for. By the time these have classified themselves, or there is shown the activity that comes from these, there will be some change in this arrangement. We don't see what it is, but it's a change somewhere.

21. (Q) Will present Board of Directors be friendly and work out the business? (A) Provided all are satisfactory as presented to the Board.

22. (Q) With whom should I keep closest contact for best interests and personal success? (A) That depends upon, of course, the various activities that each and every individual has as his special interest. Whichever is to be that in which the activities of the body are to be directed the most correctly or most sincerely, through that channel. As we find, the one as given.

257-125 Page 4

23. (Q) How is it best to work with McCarthy to keep his confidence? (A) Know those special interests of his!

24. (Q) Outside of Foreign Vintages or in Foreign Vintages? (A) In Foreign Vintages.

25. (Q) What changes will be necessary in the present policy for company to be successful? (A) These necessarily must be met as the changes demand, or as the conditions will demand of same. IF any great change, as we find, it would be only in the manner of distribution TO the dispensers.

26. (Q) What would be the best field for [257] to work in for quickest business? (A) In these same ones you're working in at present!

27. (Q) What wording to be used to cover danger of not having sufficient merchandise to deliver for a period of 3 to 4 months or more? (A) This may scarce be worded, other than has been contemplated respecting the varied conditions. But, as indicated, most of these have been taken care of for the first three or four months; but the changes that may come in the stock later, or in April or May.

28. (Q) What are the prospects for Foreign Vintages, considering well rounded lines of merchandise and financial set-up? (A) Very good; for, as indicated by the activities of the organization and those associated and connected with same, there is sufficient of the financial association - which is most necessary and most effective at the present time, and the ability for making the connections and arrangements for the carrying on of that being prospected or projected.

29. (Q) What other states should I ask to organize, besides 5 mentioned? (A) Not in the present would we change any from that given, or those as set. You'll have your hands full, and more too, for the first few months!

30. (Q) Please give me wording for my proposal; in order to make it dignified, yet not offensive to McCarthy? (A) This has already been very well proposed, very well set up. This is not in any way out of line with that desired to be as the presented facts. Hence should not be considered other than in the right way and light by McCarthy.

31. (Q) What outlets best for me to set up in my agreement as my special accounts? (A) Those in certain classes of the wines.

32. (Q) What commission fair to [257] on states of Ky., Ind., Ohio, Penna. & Ill.? (A) That which has been agreed upon.

33. (Q) Will 1% for directing outside sales be enough to

257-125 Page 5

justify me to travel? (A) Enough to justify me.

34. (Q) Should prices be quoted customers on flat basis for each type customer? (A) They should.

35. (Q) What clauses should agreement contain as to territory for me to work in? (A) That that supplied through that territory is accredited to the activity of the body.

36. (Q) What basis for my other salesmen to work? (A) That would be agreed upon by the body and the salesmen! Some bumps will come along with these, but once established with self will be very good.

37. (Q) Should I ask for an overriding on all N.Y. sales if I direct salesmen? (A) If they are under the line and under the agreement with the body, as those associated with same, very good.

38. (Q) Considering attitude of Edward Payne and Ray McCarthy of firm, will they give me overriding on all N.Y. sales if I direct salesmen? (A) If direct salesmen, yes; but this will be changed in the 18th month contract, or 18 month agreement.

39. (Q) Should I direct salesmen or only work on direct commissions on my actual sales? (A) Direct commissions is helpful, but as for the advancement and as for the aid to that which will be the best for the body - if it will apply itself in those directions that have been maintained throughout the activities of the development of the body as a salesman - DIRECTING of salesmen will be the more satisfactory; and a great deal less headaches!
