Time of Reading 11:00 to 11:15 A. M. Eastern Standard Time. N.Y.C.

1. GC: Body and enquiring mind [257]. Harry Erlicher of Schenectady General Electric, Hughes at Bridgeport and Wilson V.P. at N.Y. office. [257] has seen each one of these and as yet has no definite letter from Erlicher. What was not done or what should now be done to get the necessary commitment from General Electric on the Chichester proposition for acquisition of plant? Questions.

2. EC: Yes, we have the body, the enquiring mind, [257], together with the proposition and conditions regarding the association of the General Electric in Chichester proposition with [257].

3. As we find, it is not that there have not been the proper activities, nor that there are special conditions that have been left undone or overdone, but rather the general conditions that exist in the present in the general line of business expansion for the General Electric Company in this direction.

4. We find there needs to be then these conditions taken into consideration.

5. Of course, there have been questions that have arisen in the minds of those regarding the conditions and the propositions in many ways. As we find the activities should be - with [257] - in the present in clearing the conditions surrounding the factory; that - when - which as we find should be within the next thirty or sixty days - the conditions are ready for expansion and for the pronouncement for their associations - this may be done in not haste but in a way and manner that would be in keeping with the best interests of all.

6. That is, so have commitments - from either Bank or those holding the papers on same - that there may be no great burden upon [257] nor those assuming responsibility by the indebtedness already incurred in the present.

7. And the necessity for the changes or installation of new machinery or new activity, the necessary repairs - all of these should be in order, so that these may be taken care

of; that there may not be delay in the preparations for the outputs as they are desired by the organization.

8. Ready for questions.

9. (Q) This then is the next step for [257]? (A) This is as we find the next step.

10. (Q) What conditions prevail in business generally that [257] will be compelled to meet in 1938 with the plant and its operation? (A) As we find, if there is the general clearing of conditions so as to allow for the activities to be begun, thirty-eight ('38) should be - in the latter portion, especially - a most satisfactory year.

11. (Q) Will [257] find it necessary to use Lande associate Kaye and Hayes for first operating capital? (A) However is necessary for the clearing of the situations, see - that should be accomplished. Not that this is to be progressed without the commitment of the General Electric, as has been indicated heretofore, but let each activity be dependent one upon the other - if this is done, then THIS is to be done - and if this is done, then THIS is to be done. See?

12. (Q) Will Maurice Pereles' friend Talcutt furnish necessary capital to operate plant? (A) This all depends upon the key situation. Have all of these in mind but have them in such order that they are reliant upon the commitment of the General Electric. For WITHOUT that, there is not the good proposition for [257] in the Chichester plant.

13. (Q) What approach to Harry Erlicher might accomplish all this? (A) As has been indicated, clear the other situations. Then the approach to Erlicher would be, "Now this is necessary for the completion of the activities."

14. (Q) When will conditions improve in U.S. to cause present scare to pass over of depression? (A) This depends upon too many different conditions to say as to the time. These should begin almost immediately to show improvements.

15. (Q) Please review [257]'s development with American in 1937 and advise what next to do to improve the business in 1938. (A) As has been gone over heretofore, keep the policies more in accord with that which is the policy of the organization itself. There have been the inclination to tend to "shade off" - owing to conditions and circumstances. This under some circumstances is permissible, as has been indicated; but do

not allow such changes to bring about too many questionings not only from those to whom the sales are made but the organization itself.

16. (Q) Should [257] make arrangements to move from present home or will conditions improve to such an extent that he can continue to live on present scale? (A) This SHOULD continue to make for such changes that would justify the environs and the surroundings; for these - in many phases - are in keeping with the better things for [257] and family.

17. (Q) Should he continue present men on N.Y. sales force to assist him - [bro. [2653]], Flesch and Murray Kroll? (A) If these are making for such commitments in their activity as to justify, yes. If they are not, change or release.

18. (Q) What additional line should be taken on to increase income of the men? (A) Those that are of the specialty lines that fit in with the things that are their specialties.
