1. GC: You will have before you the body and enquiring mind of [437], at ... floor, Room ..., New York, N.Y., who seeks guidance as to his acceptance or rejection of a proposal from his present associates, to go to Europe to represent Paramount as financial contact for all their interests abroad. You will answer the questions which he has submitted concerning this, and his mental and material welfare.
2. EC: We have the body, the enquiring mind, [437] - this we have had before. In respect to the proposition or offer that is apparent, there are those conditions both favorable and unfavorable as respecting same.
3. Those favorable, in that it makes for a larger opportunity in VARIOUS directions, associations, as for moneys, as for contacts of different characters and natures.
4. Those unfavorable are, rather, that there are, as we find, some unfavorable circumstances and conditions connected with same, as respecting that as may be accomplished - or, the INDEFINITENESS of that desired TO be accomplished, would make for a hindrance. Then, there are the changings that would also make for unfavorableness.
5. However, as we find, unless there can be (which, as we find, is rather a favorable time for the beginnings of such) the contemplated, or the making of conditions where there may be, COMBINATIONS that may be made more beneficial, between those of the Mayer interests with those of Paramount, with those of other KINDRED interests that have considered same (in the Loew (?) interests), these would make for the opportunities for the body in an association in an executive manner that would make FOR the better conditions. Or, there may be made those associations with those of other interests in the same characterization of endeavors, in the capacity of an executive as in the nature of the employments, and those contracts in the activities of those IN the employ of the Warner interests, that may also

be organized under the efforts of the entity. These, as we find, should be considered by the entity SEPARATELY, and DISTINCTIVELY, and then that which offers not in dollars and cents FIRST interests, but as in KEEPING WITH that that self would hold as an ideal situation for ALL as will be concerned in the various changes, and then decide for self in THAT direction.

7. (Q) What idea have they in mind, in offering me this proposition? (A) As for the IDEA, as we find - unless there are some very DEFINITE activities that are not yet apparent, would leave OUT the activities of the body after a period.
8. (Q) What should I say or do when accepting or declining the proposal, or what counter proposition should I make? (A) As given, the three propositions as presented SHOULD be considered by the entity - see? The interests as for combination, that as is laid out as a more DEFINITE work that is to be accomplished by the body IN such a change, or that as may be had by that with their associate interests of the Warner interests. Then, as to the answer of the counter proposal, may be made from those of the FINDINGS OF the entity, or body, as respecting the consideration of the three conditions existent.
9. (Q) Is there a place in the present organization for me, if I do not go abroad? (A) As we find, there is a place; ESPECIALLY in that as of the executive in the PLACING of INDIVIDUALS IN THEIR respective stations, or POSITIONS, as associated with the operations of the company.
10. (Q) Thru whom will this offer come? (A) That will depend, to be sure, upon that as is chosen as the proper attitudes or activities of the body.
11. (Q) What should I do to bring it about in order to remain with the company and in New York? (A) Show the place or position where the activities OF the body may be the most helpful, or beneficial, to the better interests, to the better operative forces, to the better production of the various interests, that this type of presentation or position would make for the operating of the organization.
12. (Q) If I find it impossible to remain with Paramount, what is my next best move, or association? (A) This has been given. See, we are overlapping in these questions - for there are three conditions as may be presented to the body, as to what would be the proper views or moves under the present condition. In the present, or the present associations, either consider those as outlined

- see - or in the combination, or the going abroad (though this would be almost out), or the associations with other interests in the same FIELD of endeavor.
13. (Q) What month of 1932 considering all present conditions, will my future association best be set? (A) In April or June.
14. (Q) Since Paramount made offer for foreign post, should I now approach Harry Warner to discuss possible connection with Warner Bros? (A) This, as has been outlined, is one of the conditions as confront the body in the present.
15. (Q) What have I to offer Warner Bros. to make my services valuable? (A) The abilities to make the proper connections for those various interests as place individuals, or executives in charge of definite portions of the work, that must be accomplished for the better productions and for the greater savings, or types, or classes of productions.
16. (Q) Is this the proper time to approach Louis B. Mayer about a possible association with Metro-Goldwyn-Mayer, and how best to accomplish same? (A) As given, this is the proper time for consideration of combinations of kindred interests in this particular field.
17. (Q) How best to accomplish same, and through what channels? (A) Through Mayer direct!
18. (Q) Is the time ripe to develop the ground work for a merger of any of the big moving picture companies by me, and through what channels should I begin? (A) As has been outlined! This has BEEN GIVEN! NOW is the time!
19. (Q) Can I, and associate [257], with present plan in mind work a successor company to take over the Pittsburgh Chemical Corp. of N.Y., or should effort be made to buy present company? (A) This presents rather a CONFUSED outlook in the present situation. Can there be made that association wherein the properties, patents, and machinery for the activities of the whole ORGANIZATION of Pittsburgh Chemical, may be controlled by an organization or company, without there being those interests that would over-shadow - or that would cause any entanglements, this may be worked out through the efforts of the body, and some of the connections and associations of [257], to a SUCCESSFUL termination; for this, as the reasons same: The PRODUCTS of the company (Pittsburgh) are of such a nature that they WILL of themselves make for the CONTINUED production, provided - of course - that the QUALITY is kept at a high standard, and the product would find - with the

connections that may be made though the various sections or channels already opened - a ready outlet. Consider, it is ONE thing to PRODUCE a product of value - and ANOTHER thing to dispose or have an outlet FOR the production. This, as we find, may have BOTH. Are there, however, ENTANGLEMENTS from former associations, through the various activities OF the company to float the various MANNERS the company has had, or individuals associated with same have had, in dispensing or selling of product, the entanglements from suits on account of the various patents that are held, we would not consider any such association. Some of these patents are very valuable. Some are worth VERY little. These should be straightened out, and could this be done - WILL this be done - then this may be made a very SUCCESSFUL, and PRODUCTIVE successful, undertaking. Without these entirely removed, we would not undertake ANY associations or reorganization, or buying OF the present company's holdings. DO NOT BUY unless there is the UNTANGLING of all those things that make for, and may make for, difference later on.
20. (Q) What other associates should I have? (A) Sufficient of those who understand (as maybe considered) this particular game, in both production and distribution. The abilities of the ENTITY, or body, in this connection would be rather that of the policy-making, and of the putting of individuals in the position of conducting the affairs of such an organization in various states, districts, or portions of the country.
21. (Q) What then can the future of Pittsburgh Chemical Corp. be? (A) It may be nothing unless straightened out, or it may be MUCH - if set in the proper lines. The PRODUCTS are right! There has been too MANY - one over-shadowing the other! but these chosen in their proper fields, their distribution and their work will speak for themselves.
22. (Q) Any further advice for this body at this time? (A) Keep much in the way that has been outlined for the body, in that field of endeavor wherein the abilities lie, in being able to be the greater service to others; for in serving another does one develop one's OWN self.
