1. GC: You will have before you the ... Chemical Company, Incorporated, whose plant is located at Nicholas Road, ..., Ohio. You will have before you all of the affairs of that corporation and its officers and will answer all questions I will ask relative to these.

2. EC: Yes, we have the ... Chemical Company, Incorporated, with the affairs and its officers. This, as we see, has the foundations of a successful corporation, were the affairs of same handled in the proper manner, for the product of this company, as is seen here, may be expanded, as well as that already in hand, may be exploited to an even greater degree of efficiency, for conditions that have to do with the ails of the human body that pertain to the functioning of these portions, especially, pertaining to nerve and gland conditions of body. Ready for questions.

3. (Q) Is the present plan, organization and operation of the company, feasible for its future success? (A) As set at the present time, this may be expanded or built up, rather than in its present status, for the condition surrounding same does not give the facilities of handling or of spreading out as it should be for the greatest success. There are some policies with the organization would be well to curtail in some directions and expand in others. There needs be the greater expansion in distribution of present products and a little later with the present outlook, we would expand more in the number of products and in the development of same. Then, the policy should be changed in that manner for the greater success. All can see this, see?

4. (Q) Can the operations of the Company, its financial and merchandising policies be improved upon, and how? (A) That is as given. The merchandising policies, the spreading out, the distribution end, needs the greater attention at the present time. Needs to enter those fields through which the specialists, the dentists, those of the class who use those products in their work, see? those that

have to do with nerve, those that have to do with tissue involved; such as in eye, ear, nose and throat specialists, as those in specialists in skin diseases, that are brought on principally by nerve reactions, see?

5. (Q) What changes, if any, would you suggest to properly exploit the products of the Company? (A) That as given. In its distribution in a wider field of those that may be useful to the peoples for whom the product is used, see? The success of any product depends principally upon its results obtained with given conditions, see? Then put in the hands who charge for it and the prices will be correct, see?

6. (Q) Upon which products of the Company should the most effort be put? (A) Those that have to do principally with those as outlined, as used by specialists in eye, ear, nose and throat, see? and nerve and skin, see? See, we have skin specialists, we have teeth specialists, we have throat and ear specialists. These products, especially - be different phases of same - are quite wonderful in these conditions, see?

7. (Q) Is it advisable for the Company to attempt its own financial program through the sale of additional stock and can they negotiate this successfully through Abraham Rosenberg of Dayton, Ohio? (A) Through anyone who can present to such specialists the possibilities of the products of the Company, see? Through sale of stock to such peoples, see? such institutions as make specialization in such as has been given, such individuals who make a speciality of such conditions. Would Abraham Rosenberg? - Through this channel there may be raised finances sufficient to handle the situation. Some little time. Necessary that these be put in shape so they may be presented to individuals in the proper manner, see? The abilities of Abraham Rosenberg are such as such products may be presented to such peoples in such a manner that they would contribute and give sufficient of their self and means to make this successful.

8. (Q) Would the operations be more successful if merged with The Ipsab Corporation as organized by Morton Blumenthal of New York? (A) Were such merge made (and it could be made), this we find would be very good, for there are those who may be interested through this channel that given access to the larger institutions using such products as may be made by ... Chemical Company, through the product they make, see?

9. (Q) Can such a merger and negotiations with Mr.

4508-1 Page 3

Blumenthal be accomplished and handled successfully by the officers of the ... Chemical Company alone? (A) If they can be made at all, made by the officers, and necessary though that the salesman present same; that is, as has been given, should this be presented, necessary that salesman presents that which may be sold and that which may be brought to bear to bring about such negotiations, see?

10. (Q) Would any negotiations with Mr. Blumenthal be more successfully handled if done together with Mr. Rosenberg, and why? (A) As given, necessary that some salesman present such in the manner that same may be presented in a way showing how that same may be financed through such peoples, see? for this is not as that of the inabilities of the officers of the said Company, but their direction lies in other channels.

11. (Q) If such merger is feasible and can be arranged, is the plan outlined and discussed between Abraham Rosenberg and Dr. [4508] equitable and should it be acceptable to all concerned? (A) It's equitable. Should be acceptable, presented in the correct manner. Will be rejected at first, will be accepted second.

12. (Q) Is there any special plan you have in mind to submit as a proposal to Mr. Blumenthal? (A) We don't submit any. [See 1800-12, Par. 6-A, 7-A, on 10/25/25.]

13. (Q) Which would be the better plan of reorganization, the merger or handling the financial campaign by the Company itself? (A) Either would prove successful, see? for as given, the financial condition may be clarified through those channels as given. With such a merger there would be added such an additional manner of obtaining that necessary to make the more feasible and quicker in being handled, could that merger be made.

14. We are through.
